Summary
NovaGo, operated by NovaPro Solutions LLC, is a software tool that helps independent local service businesses manage booking, quotes, invoices, payment records, customer management, and business profiles. We are a technology provider only — we are not a party to any transaction between a business and its customers, and we do not verify, employ, supervise, endorse, or guarantee any business or provide the underlying services. NovaGo does not process, hold, or transmit the payments a business collects from its customers; each business collects those payments through its own chosen provider or link and external methods and is solely responsible for them. Each business is solely and exclusively responsible for its own services, pricing, payments, licenses, taxes, safety, refunds, and customer disputes; customers choose, hire, and pay businesses at their own discretion. NovaGo charges each business only its own fixed monthly subscription. Misuse of the Platform may result in immediate suspension or termination without prior notice.

1. Acceptance of Terms
By accessing or using NovaGo (the "Platform"), you agree to be bound by these Terms of Service and any policies referenced here. If you do not agree, you must not access or use the Platform.
These Terms apply to everyone who uses the Platform, including business owners who list and manage services and customers who browse or book them. If you use the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Platform Role as a Software Provider Only
NovaGo, operated by NovaPro Solutions LLC, is a technology and software provider only. Our sole service is providing access to the NovaGo software platform: tools for scheduling and booking, quotes, invoices, payments coordination, customer management, and business profiles for local U.S. service businesses.
NovaGo is NOT a medical, legal, financial, insurance, cannabis, or alcohol-delivery platform, and it is NOT a marketplace that guarantees outcomes. We are not a party to, and have no involvement in, any agreement, transaction, or relationship between a business and its customers, and we do not provide, perform, or deliver the underlying services offered through the Platform.
To the fullest extent permitted by law, NovaGo expressly disclaims all responsibility and liability for anything arising out of or related to the services that businesses offer, sell, schedule, or perform through or in connection with the Platform.
3. No Endorsement of Businesses
Listings on the Platform do not constitute an endorsement, recommendation, or referral by NovaGo. We do not verify, vet, or confirm any business's licenses, insurance, certifications, background checks, qualifications, or legal compliance unless a specific verification feature explicitly says so.
The presence of a business on the Platform does not mean we have investigated or approved it. NovaGo does not verify, endorse, supervise, or guarantee any business, its credentials, or its work. You are responsible for evaluating any business, service, or provider before you engage with them.
4. No Guarantee of Service Quality
NovaGo does not supervise, direct, or control the services that independent businesses provide, and we make no promises about their quality, safety, timeliness, legality, or results.
We do not guarantee that any booking will be honored, that any service will meet your expectations, or that any dispute will be resolved in your favor. Any concerns about a service must be raised directly with the business that provided it.
5. Business Owners Are Independent Providers
Businesses that use the Platform are independent providers. NovaGo does not employ, supervise, manage, or control them, and no agency, partnership, joint venture, or employment relationship is created between NovaGo and any business or its staff.
Business owners are solely and exclusively responsible for: - Every service they offer and perform, including service quality, fulfillment, and results - Pricing their services and charging and collecting payments from their customers - Refunds, cancellations, disputes, and chargebacks - Scheduling and honoring bookings and appointments - Their employees and contractors - Taxes, permits, licenses, insurance, and required certifications - Workplace and customer safety, and any injuries or property damage - Communications with their customers and the handling and protection of their customers' data - Customer satisfaction, the accuracy of their listings, and full compliance with all applicable laws
6. Customer Responsibility When Booking Services
Customers choose, hire, and pay independent businesses at their own discretion and assume the risks of doing so. It is your responsibility to review a business's details, pricing, policies, and any applicable licensing before booking.
You are responsible for the accuracy of the information you provide when booking, for showing up or communicating changes according to the business's policies, and for resolving service-related questions directly with the business. NovaGo is not responsible for the conduct, acts, or omissions of any business or customer.
7. Account Registration
To use certain features you must create an account and provide accurate, current, and complete information. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.
You must be at least 18 years old and able to form a binding contract to register. Notify us promptly at support@nova-go.app if you suspect unauthorized use of your account. We may refuse, suspend, or reclaim any account or username at our discretion.
8. Business Profile Rules
Business owners are responsible for the content of their profiles, service listings, pricing, availability, and policies. All profile information must be accurate, lawful, not misleading, and kept up to date.
You may not misrepresent your identity, qualifications, licensing, or affiliation; impersonate another business; or list services you are not authorized or legally permitted to provide. We may remove or edit profile content, or suspend profiles, that violate these Terms or create legal or compliance risk.
9. Payments and Subscription Pricing
The Platform helps businesses generate quotes and invoices and record the payments they collect for their services. Businesses set their own prices; NovaGo does not set or control the price of any service.
NovaGo does not process, hold, or transmit the payments a business collects from its customers. Each business collects those payments through its own chosen payment provider or online payment link (for example, Stripe, Square, or PayPal) and external methods (such as cash, check, bank transfer, Zelle, Venmo, or Cash App), and is solely responsible for those transactions, including refunds, chargebacks, and taxes.
NovaGo charges business owners a fixed monthly subscription fee based on the plan they select. That subscription is the only fee NovaGo charges: NovaGo does not charge booking commissions and does not charge any fee on bookings, booking value, or the payments a business collects — whether through the business's own payment link, cash, check, bank transfer, Zelle, Venmo, Cash App, or any other method. Any fee for processing a payment is charged by the business's own payment provider under that provider's terms and is never NovaGo's. Subscription fees are billed monthly in advance and are non-refundable except where required by law. Introductory pricing, where offered, may change for new subscriptions with notice; existing subscribers keep their current price unless notified in accordance with these Terms.
You agree to keep booking and payment records accurate and not to manipulate bookings or use fake cancellations. We may audit booking and account records to prevent fraud and misuse, and may respond to violations with immediate suspension, restriction, or termination of the account, without prior notice, at our sole discretion.
10. Business-Selected Payment Providers
Any payment a customer makes to a business is handled entirely through that business's own chosen payment provider or online payment link (such as Stripe, Square, or PayPal) or an external method (such as cash, check, bank transfer, Zelle, Venmo, or Cash App). NovaGo does not process, hold, store, or transmit these payments, does not store card numbers, and is not responsible for the availability, security, decisions, holds, or errors of any provider a business uses.
A business's use of a payment provider is a relationship between that business and the provider, subject to the provider's own terms and privacy policy, and the provider may require additional identity or business verification. Payouts, processing fees, and settlement timing are governed by that provider and the business, not by NovaGo.
11. Cancellations and Refunds
Each business sets and enforces its own cancellation and refund rules, including any deposits, rescheduling terms, and no-show policies. NovaGo does not set these rules and does not issue refunds for services provided by independent businesses.
Customers should review a business's cancellation and refund policy before booking and request any refund directly from that business. NovaGo subscription fees are billed monthly in advance and are non-refundable except where required by law; cancelling a subscription takes effect at the end of the paid billing period. NovaGo charges no fees on bookings, so a business's refund to its customer never involves a NovaGo fee.
12. Chargebacks and Disputes
Service-related disputes should first be handled directly between the customer and the business. NovaGo is not a party to these disputes and does not adjudicate, guarantee, or fund their resolution.
Business owners are solely responsible for chargebacks and payment disputes relating to their services, including any associated fees imposed by payment processors. Excessive disputes, chargebacks, or fraud may result in account review, holds, or immediate suspension or termination without prior notice, at our sole discretion.
13. Reviews and User Content
The Platform may allow users to post reviews, ratings, images, and other content. You are responsible for the content you submit, and you grant NovaGo a non-exclusive, worldwide, royalty-free license to host, display, and use that content in connection with operating and promoting the Platform.
Content must be truthful, lawful, and based on genuine experience. You may not post fake, incentivized, or manipulated reviews, or content that is defamatory, harassing, infringing, or otherwise objectionable. We may moderate, remove, or refuse content at our discretion, but we are not obligated to monitor it and are not responsible for content posted by users.
14. Prohibited Content and Prohibited Services
To keep the Platform lawful and safe, certain content and services are not permitted. You may not use the Platform to offer, advertise, or facilitate restricted or high-risk services, including: - Medical, therapeutic, dental, or other regulated healthcare services - Legal or financial advice, insurance, tax preparation, or lending - Cannabis, alcohol delivery or sales, tobacco, firearms, or controlled substances - Adult or sexual services, gambling, or any illegal activity
You also may not post fraudulent, deceptive, infringing, harassing, or unsafe content, engage in spam or scraping, or submit fraudulent bookings. We may remove prohibited content and suspend or terminate accounts that violate this section immediately and without prior notice, at our sole discretion.
15. Compliance with Laws
NovaGo is a software tool and does not provide legal, tax, or compliance advice, and we do not verify licenses, permits, or insurance unless a verification feature explicitly says so.
Business owners must comply with all applicable federal, state, county, and local laws, and must maintain all licenses, permits, insurance, safety requirements, and certifications needed to provide their services. You are responsible for determining which laws apply to you and for following them, and we may suspend businesses that appear non-compliant or that create legal or compliance risk.
16. Limitation of Liability
To the maximum extent permitted by law, NovaGo, NovaPro Solutions LLC, and their owners, officers, employees, contractors, affiliates, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the Platform.
We are not liable for the acts, omissions, services, products, conduct, or disputes of any independent business or customer, or for any injury, damage, or loss resulting from a booking or service. To the extent liability cannot be excluded, our total aggregate liability is limited to the amount you paid to NovaGo for the Platform in the three (3) months before the event giving rise to the claim.
17. Disclaimer of Warranties
The Platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components, or that any business, service, or outcome accessed through the Platform will meet your expectations. Some jurisdictions do not allow certain warranty exclusions, so some of these limitations may not apply to you.
18. Indemnification
You agree to indemnify, defend, and hold harmless NovaGo, NovaPro Solutions LLC, and their owners, officers, employees, contractors, affiliates, and partners from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform or your breach of these Terms.
For business owners, this includes claims relating to your services, listings, conduct, compliance failures, customer disputes, injuries, damages, refunds, chargebacks, taxes, or legal violations. This obligation survives the termination of your account and these Terms.
19. Suspension and Termination
Any misuse of the Platform — including offering illegal or restricted services, fraud, falsifying booking or payment records, fake bookings or reviews, abuse of other users, scraping, or any other violation of these Terms or our policies — may result in the immediate suspension, restriction, or termination of your account WITHOUT PRIOR NOTICE, at NovaGo's sole discretion. We may also remove content or restrict features where your use creates legal, safety, or compliance risk.
You may stop using the Platform and close your account at any time. Upon termination, your right to use the Platform ends, but provisions that by their nature should survive — including payment obligations, disclaimers, limitations of liability, and indemnification — will continue to apply.
20. Changes to the Service
We are continually improving the Platform and may add, change, suspend, or discontinue features, plans, or functionality at any time, with or without notice.
We are not liable to you or any third party for any modification, suspension, or discontinuation of the Platform or any feature. Where a change materially affects a paid plan, we will make reasonable efforts to provide notice.
21. Changes to the Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, provide additional notice through the Platform or by email.
Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
22. Governing Law
These Terms are governed by the laws of the State of Wyoming and the applicable laws of the United States, without regard to conflict-of-law principles.
You agree that any dispute not otherwise resolved will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and you consent to venue there. NovaPro Solutions LLC, 1621 Central Ave, STE 9140, Cheyenne, WY 82001.
